GLUED Terms and Conditions of Use

The GLUED Terms and Conditions of Use (the "Terms and Conditions") set forth the terms between GLUED Limited (“GLUED") and users ("You", “Yourself”, or “Your” depending on the context) of any services or features of the GLUED provided by GLUED Limited (the "Service"), including, but not limited to providing news articles via GLUED Official Account, Timeline functions, and More Tab functions within the internet communication services operated by GLUED under the brand name "GLUED" and its related services (collectively, "GLUED Services"), and/or via Mobile web version and PC websites of GLUED.

 

1. Consent to the Terms and Conditions

 

1.1. You may use the Service only in accordance with the provisions of the Terms and Conditions, without modification. You may not use the Service unless you validly and irrevocably consent to the Terms and Conditions.

 

1.2. By consenting to the Terms and Conditions, You represent and warrant that You are of the legal age of majority in the jurisdiction in which You reside. If there are any documents pertaining to the Service and provided or uploaded by GLUED, such as "agreements", "guidelines", and "policies" (“Separate Terms and Conditions”) for the Service, You shall also comply with the provisions of the Separate Terms and Conditions as well as the Terms and Conditions.

 

 

2. Modification of the Terms and Conditions

GLUED may modify the Terms and Conditions or Separate Terms and Conditions at any time deemed necessary by GLUED and without providing prior notice to You. The modified Terms and Conditions or Separate Terms and Conditions become effective upon their posting on an appropriate location within the website operated by GLUED Limited. By continuing to use the Service after a change to the Terms and Conditions or Separate Terms and Conditions, You are deemed to have validly and irrevocably consented to the modified Terms and Conditions or Separate Terms and Conditions. Notifications regarding the modification to Terms and Conditions may not be provided individually to You. You are encouraged to refer to the current version of the Terms and Conditions on a regular basis when using the Service.

 

 

3. Account

 

3.1 In order to use, in part or in whole, the Service and/or any features and functions of the Service, You may need to separately register for GLUED Services.  Please refer and consent to the GLUED Terms and Conditions of Use for use of GLUED Services.

 

3.2 For matters not referred to within the Terms and Conditions or Separate Terms and Conditions (including, but not limited to Restrictions, User Responsibility, and Notification and Contact), GLUED Limited Terms and Conditions of Use, in addition to the Terms and Conditions or Separate Terms and Conditions, apply for the use of the Service.

 

 

4. Intellectual Property

 

4.1 All of the content elements displayed and/or downloadable on GLUED, as part of Contents under GLUED Terms and Conditions of Use, including, but not limited to photographic images, graphic images, text, captions, video, audio-visual files, digital files and software (collectively, the "News Content”), and all of the features on GLUED, including the GLUED’s designs, trade dress, logos, pages, audio and/or video material, text, data, information, software, data compilations, digital downloads, icons, html code, xml code and products or services obtained from GLUED (together with the News Content, collectively, the "Elements") is the exclusive property of GLUED or its licensors. The Elements are protected by national and international laws, including copyright, trademark, trade dress and other intellectual property laws. Any News Content accessed or downloaded by You (whether or not such access or download was authorized) transfers no right, title or interest in or to such News Content or any intellectual property rights therein. All right, title and interest in and to such News Content shall remain the exclusive property of GLUED and/or its licensors. No News Content may be used, copied, displayed, transmitted or otherwise exploited via any means except as expressly permitted herein. GLUED Limited hereby expressly reserves all rights in relation to the GLUED and Elements not expressly granted herein.

 

4.2 For the protection of GLUED and its licensors, News Content may use electronic measures to protect GLUED and the Elements. You agree not to, nor attempt to, disable or interfere with any such measures. Any circumvention or interference with such measures may result in civil and criminal penalties.

 

4.3 If You are to make printed copy of any item of News Content for personal, non-commercial use, solely to the extent permitted under applicable laws and regulation, You must not remove or cause to be removed any copyright, trademark, watermark or other proprietary notices or visual marks or logos from the News Content. You may not archive or retain any News Content without the express prior written consent of GLUED Limited.

 

 

5. Use of the GLUED

 

5.1 GLUED and Elements are intended solely for users of GLUED. Any and all access to GLUED is provided to You at GLUED Limited’s sole discretion. You agree that GLUED Limited shall not be liable to You or any third party for any termination of Your access to GLUED. GLUED Limited reserves the right to modify, update, suspend, discontinue or restrict the use of or access to GLUED (or any portion of GLUED) at any time and without notice or liability.

 

5.2 When using the Service through GLUED Limited Services, GLUED may notify preferred new News Content, follow-up news to viewed News Content, and/or extra News Contents using push message function. Such function for push messaging extra News Contents by default is set as “ON”, but You may switch this function to “OFF” through setting of the Service.

 

5.3 You may, as part of the functions and features of the Service, share News Contents to Your social media accounts, such as GLUED Services, Facebook, and Twitter. GLUED disclaims all responsibility for the propriety of You using such sharing function, and also for Your using such social media accounts in accordance with the terms and conditions or other regulations or the like, if any, set forth by the service providers of such social media services. Such service providers of social media services bear all responsibility for their own social media services. In addition, You agree that GLUED shall not be liable to You or any third party for any continuation, suspension, or termination of such sharing function. GLUED reserves the right to modify, update, suspend, discontinue or restrict the use of the sharing function at any time and without notice or liability. Unless explicitly permitted under the Terms and Conditions, You may not share, reproduce, and/or distribute News Content without GLUED Limited’s permission using any functions other than the sharing function referred to in this paragraph.

 

5.4 You may not (i) deep link or employ software or any automatic device, technology or algorithm, to "crawl", "scrape", search or monitor GLUED and/or retrieve or copy News Content or related information; (ii) violate the mechanical restrictions of GLUED, or bypass other measures employed to prevent or limit access to GLUED or Elements by hacking or other means; (iii) copy, redirect, or exploit Glued or any Elements; (iv) probe, scan, or test the vulnerability of GLUED or of the network supporting Glued, or seek information on visitors to GLUED or personal information of GLUED’s users; (v) use or upload to GLUED any device, software or routine that would interfere with the proper functioning of GLUED, or any transaction conducted via Glued; (vi) copy, modify, or display GLUED’s name, logo, trademarks or service marks, text, or graphic images in any way, or include GLUED’s names or trademarks or service marks or any GLUED executive's name, or any variation of any of the foregoing, as a meta-tag, hidden textual element, or any other indicator that may create an impression of affiliation, sponsorship, or endorsement; (vii) use devices (including software) that are designed to provide repeated automated access to GLUED, other than those made generally available by GLUED, or probe, scan, or test the vulnerability of any system or network related in any way to GLUED, without proper authorization from or by GLUED; (viii) engage in any unlawful or illegal activities in connection with the use of GLUED; or (ix) frame GLUED or Elements using "framing" or any other similar technology.

 

5.5 GLUED does not claim that GLUED and/or any Elements are appropriate or available for use in specific countries where You choose to use the Service. If You choose to access GLUED, You do so at Your own initiative and will be solely responsible for compliance with any applicable local laws.

 

 

6. Privacy

 

6.1. GLUED places its highest priority on the privacy of You. GLUED exercises its utmost care and attention regarding security measures for the secure management of information received from You. 

6.2. GLUED follows the provisions of the GLUED Privacy Policy regarding the handling of personal information.

6.3 Other companies and organizations other than GLUED will display advertisements, on this service. GLUED use other companies' Ad serving platform for optimal ad delivery. By these Ad serving platform, other companies will collect customer information. You can choose to stop / resume at any time yourself at advertisement delivery based on your information. 7. Confidentiality

In the course of using this GLUED, You may receive certain pricing, technical, marketing or other confidential information. "Confidential information" includes any information that is either designated as confidential by GLUED or that, under the circumstances surrounding its disclosure, a reasonable person would conclude is confidential. You acknowledge that such confidential information constitutes valuable trade secrets of GLUED and is proprietary to GLUED. You agree that You will maintain the confidentiality of all such confidential information and that You shall not use or disclose such confidential information without the prior written consent of GLUED.

 

 

8. Disclaimers and Limitations on Liability

 

8.1 GLUED AND THE ELEMENTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, GLUED Limited EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND WITH RESPECT TO GLUED, THE ELEMENTS AND ANY OTHER PRODUCTS OR SERVICES AVAILABLE ON OR THROUGH GLUED, WHETHER, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY AND ALL WARRANTIES (1) OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE; (2) OF NON-INFRINGEMENT AND TITLE; (3) THAT ANY USE OF GLUED WILL BE FREE FROM ANY INTERRUPTIONS, DELAYS, INACCURACIES, SERVER DOWN-TIME, ERRORS OR OMISSIONS; (4) THAT GLUED WILL BE SECURE, OR FREE OF VIRUSES, WORMS OR OTHER HARMFUL COMPONENTS; (5) THAT GLUED AND/OR THE ELEMENTS WILL SATISFY YOUR REQUIREMENTS OR EXPECTATIONS; AND (6) THAT INFORMATION, DATA OR MATERIALS PRESENTED OR DISPLAYED ON GLUED ARE CORRECT, ACCURATE OR RELIABLE.

 

8.2 UNDER NO CIRCUMSTANCES SHALL GLUED Limited OR ITS DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, LICENSORS, AGENTS OR OTHER REPRESENTATIVES, BE LIABLE FOR DAMAGES OF ANY KIND, WHETHER DIRECT, INDIRECT, COMPENSATORY, CONSEQUENTIAL, EXEMPLARY, SPECIAL, INCIDENTAL OR PUNITIVE, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, REVENUE, INCOME, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES OR DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF GLUED OR THE ELEMENTS. YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING OR REPAIRS ARISING FROM USE OF GLUED.

 

8.3 Your access to GLUED or any Element is at Your own risk. You shall be solely responsible for any damage to Your computer systems or loss of data that results from the accessing of any Elements. GLUED shall not be responsible or liable for any damage caused by theft, systems failure, communications line failure or other occurrences beyond the control of GLUED.

 

8.4 Although GLUED endeavors to ensure the accuracy, completeness and reliability of the News Content, GLUED disclaims all representations and warranties concerning the accuracy, completeness and/or reliability of the News Content or any data or metadata appurtenant thereof. You assume all risk and responsibility relying on such information. GLUED also disclaims any responsibility for the accuracy, completeness and/or reliability of any search feature provided by GLUED and/or any search results. These links do not imply endorsement by GLUED of the products or services offered by such third party Internet sites. GLUED does not operate or control in any way any information, products or services on these third-party sites and GLUED expressly disclaims any responsibility for such third party sites, which are provided for Your convenience on an "as is" basis without warranties of any kind, express or implied. You hereby waive any and all claims against GLUED regarding the inclusion of links to third party Internet sites or the use thereof.

 

9. Indemnification

You hereby agree to indemnify, defend and hold harmless GLUED and its officers, directors, employees, agents and representatives from and against any and all claims, actions, proceedings, suits, liabilities, damages, settlements, penalties, fines, losses, or expenses, including attorneys' fees and costs, arising out of or in any way connected with its access to Your use of GLUED or any Elements in violation or breach or alleged violation or breach of the Terms and Conditions, Separate Terms and Conditions, and/or GLUED Terms and Conditions of Use, Your violation, alleged violation or misappropriation of any intellectual property right (including trademark, copyright, patent, trade secrets) or non-proprietary rights of a third party (including defamation, libel, violation of privacy or publicity) or any other applicable laws or regulations.

 

10. Severability

If any provision of the Terms and Conditions, Separate Terms and Conditions, and/or GLUED Terms and Conditions of Use is deemed unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from the Terms and Conditions, Separate Terms and Conditions, and/or GLUED Terms and Conditions of Use and will not affect the validity and enforceability of the remaining provisions. The affected provision shall be modified to the extent necessary to make it lawful, not void or enforceable, as the case may be, in such a manner as comes closest to preserving the intentions of such provision.

 

11. No Waiver

The failure of GLUED at any time to require performance by You of any provision of the Terms and Conditions and/or Separate Terms and Conditions shall in no way affect the right of GLUED to enforce the such provision, nor shall the waiver of any breach by You of any provision herein constitute a waiver of any succeeding breach or the provision itself.

 

12. Translation, Jurisdiction, and Disputes

 

12.1 Where the Company has provided Users with a translation of the Englsih language version of the Terms and Conditions ("English Version"), the English Version will govern the relationship between Users and GLUED. In the event of a contradiction between the English Version and a translation, the provisions in the English Version shall take precedence over any other translation.

 

12.2 In any dispute between You and GLUED where GLUED prevails, GLUED shall be entitled to recover its reasonable attorney fees, court costs, disbursements, and other legal expenses.
